Pembroke Nannies - Client Terms of Business

Professional SEN Childcare Recruitment Services | Effective Date: October 2026

1. Introduction & Regulatory Information

  • 1.1 These Terms of Business ("Terms") constitute a legally binding agreement between Harrington Nannies Ltd (trading as Pembroke Nannies), registered in England and Wales ("the Agency"), and the individual or family engaging our services ("the Client").

  • 1.2 Pembroke Nannies operates as an exclusive recruitment consultancy specializing in dedicated developmental Special Educational Needs (SEN) childcare placements across Cheshire and Greater Manchester.

  • 1.3 By submitting a search brief, paying the Search Retainer, interviewing candidates introduced by the Agency, or signing an engagement agreement, the Client accepts and agrees to be bound by these Terms.

2. Scope of Service & Professional Boundaries

  • 2.1 Specialist SEN Focus: Pembroke Nannies specializes strictly in the placement of qualified, career childcare professionals providing dedicated developmental SEN care.

  • 2.2 Separation of Domestic Duties: Placements facilitated by the Agency are strictly focused on specialized childcare and developmental management. Household management duties directly related to the child’s care plan are included; general domestic housekeeping, heavy cleaning, or non-child-related domestic labor are strictly excluded and cannot be introduced post-placement without prior agreement and contract re-negotiation

3. The Non-Refundable Search Retainer & Search Initiation

  • 3.1 Retainer Commitment: To initiate a bespoke candidate matching process, the Client agrees to pay an upfront Search Retainer of £350.

  • 3.2 Strictly Non-Refundable: This Search Retainer is strictly non-refundable under all circumstances, including but not limited to:

    • The Client choosing to pause, cancel, or suspend the search.

    • The Client sourcing care independently through alternative platforms, social media, or personal networks.

    • A change in the Client's personal, domestic, or financial circumstances.

  • 3.3 Purpose of Retainer: The Retainer secures immediate access to Pembroke Nannies' pre-vetted SEN professional network, clinical brief analysis, candidate profile redaction, and active market profiling.

  • 3.4 Search Commencement: No candidate profiling, vetting, or introduction work will commence until both the signed Agreement is received and the non-refundable Retainer payment has cleared into the Agency account.

4. Client Exclusivity & Candidate Protection

  • 4.1 Exclusivity: To ensure candidate commitment and protect the integrity of the search, the Client agrees not to concurrently advertise the specified role on public platforms, free social media boards, or through competing agencies while an active search is underway with Pembroke Nannies.

  • 4.2 Confidentiality & Redacted Profiles: To comply with UK Data Protection (GDPR) guidelines and protect candidate privacy, candidate profiles, CVs, and vetting portfolios presented during the shortlisting phase will be strictly redacted. Full names, contact details, and identifying personal information will remain confidential and will only be released once a formal interview has been confirmed and scheduled through the Agency.

  • 4.3 Non-Circumvention: The Client agrees not to attempt to contact, identify, or solicit candidates independently outside of the communications facilitated by Pembroke Nannies prior to, during, or following the search period.

  • 4.4 Direct Engagement Protection: If a Client directly or indirectly engages any candidate introduced by Pembroke Nannies within 12 months of the initial introduction—whether on a permanent, temporary, or informal basis—the standard Placement Commission Fee will immediately become payable in full.

5. Fees & Payment Terms

5.1 Placement Commission Fee: Upon the Client’s offer and candidate’s acceptance of a placement (whether verbal or written), a Placement Commission Fee calculated at 15% of the candidate’s agreed gross annual salary (or the agreed fixed placement fee) becomes due.

  • 5.2 Payment Schedule: Invoices for the Placement Commission Fee are issued immediately upon job offer acceptance and are strictly payable within 7 calendar days, and in all cases prior to the candidate commencing employment.

  • 5.3 Late Payments: Failure to settle invoices prior to the start date invalidates all rebate guarantees and candidate replacement protections set out in Section 6.

  • 6.1 Guarantee Window: In the rare event that a placement terminates within the first 8 weeks of employment, Pembroke Nannies will make reasonable commercial endeavors to source a suitable replacement candidate at no additional agency search cost.

  • 6.2 Conditions of Guarantee: This replacement guarantee is strictly contingent upon:

    • All agency fees (including the Retainer and Placement Commission) having been paid strictly in full and on time.

    • The Client adhering fully to UK employment law, contractual salary agreements, and safe working conditions.

    • The termination not arising from a fundamental alteration of the original job description, location, or unreasonable working expectations.

  • 7.1 While Pembroke Nannies conducts rigorous vetting, DBS verifications, reference checks, and SEN qualification validation, the candidate is employed directly by the Client.

  • 7.2 Harrington Nannies Ltd t/a Pembroke Nannies accepts no liability for loss, damage, expense, or delay arising from any candidate introduced, placed, or recommended by the Agency
